Representation of buyers, sellers, private and institutional investors, brokers and other service providers in individual and portfolio sales of commercial, industrial, retail, resort, hospitality and mixed-use properties and vacant land has been constant throughout Mr. Andreani’s entire 30+year career. Examples include: the purchase of 300+ acres in San Bernardino (Gardner Ranch) for a Tribal client, and the purchase of Saddleback Valley Plaza regional mall in Lake Forest. In the late 1980’s and early 1990’s, Mr. Andreani represented PacTel Properties (the real estate subsidiary of Pacific Telesis Group) first in its acquisition, and then its disposition, of its entire Southern California portfolio of commercial and industrial properties, handling transactions totaling over $700 Million. Other marquis acquisition/sale assignments included the Pacific Mutual Building, Western Union Headquarters Building and Olympic-Union Square all in downtown Los Angeles, Santa Anita Race Track and Mall in Santa Anita, and the Valencia Town Centre in Valencia. Bob’s experience includes REO dispositions on behalf of banks and the RTC/FDIC, and investor purchases of REO product.
Over 30 years of Office and Industrial Leasing work, on behalf of institutional and private landlords and tenants, more recently for such clients as Nike Inc., Cole Haan, Hurley International, R.E.I.T.’s Brookfield Properties (TrizecHahn) and Kilroy Realty Corp., and others. Transaction sizes have ranged from modest to several hundred thousand square feet.
Representation of sophisticated landlord and tenant clients in major retail stand-alone and mall/mixed use project and ground leases, including CVS Pharmacy/Realty Corp.; 24-Hour Fitness, Inc.; La Curacao/ADIR International Export Ltd.; El Gallo Giro (Mexican theme restaurant chain); Pollo Campero (Fast-food franchise based in Central America); The Limited and its affiliates; and Abercrombie & Fitch. Also handled grocery store lease work for the Vons grocery stores chain, and auto dealership and gas station leases for various dealer clients.
Bob's work includes the preperation, negotiation and finalization of lease documentation, including:
- Construction and architect's agreements
- Tenant improvement work letters
- CC&R's involving multi-building projects
- Credit enhancement agreements
- Guaranty and letter of credit agreements
Bob also consults on the business and quasi-business terms on which lease proposals, letters of intent, and leases are ultimately based. His expertise and experience in this area and knowledge of marketplace dynamics allow him to structure the best terms and conditions for his clients.
Mr. Andreani has handled construction and permanent real estate secured loans on all product types for lenders such as banks (e.g., Mitsui Manufacturers Bank, Cal-Fed, Southern Pacific Bank), pension funds (Ohio State Teachers Retirement Fund) and private “hard money” lenders, as well as for numerous corporate and individual borrowers, ranging from below $1Million to over $100 Million in amount. This includes experience in Fannie Mae “DUS” lending.
Bob possesses broad experience structuring, documenting, and negotiating all types of secured financing transactions for all major classifications of real estate assets including permanent, mezzanine, participating, revolving credit, and construction loans, CMBS and capital market, and structured finance transactions. This includes sale -leasebacks and ground lease financing. Bob has represented loan servicers with regard to post-closing and loan servicing matters, and has been involved in numerous delinquent and performing note sales and participating and co-lending structures.
In “down” cycles, Mr. Andreani has handled loan workouts and modifications, and assisted in loan enforcement actions, including receivership appointments, and real estate lease auctions and transfers and property sales in Bankruptcy.
Bob's experience includes handling or monitoring land use and entitlement matters for developers, investors, lenders, large tenant users, service providers and others involved in commercial, retail and industrial developments and build-outs, including processing subdivisions, lot-line adjustments, site plan approvals, CUP’s, and demolition and construction permits. For example, in the early 2000’s, Mr. Andreani lead the legal team that represented CVS Pharmacy/Realty Co. in their entry and expansion into Southern California in acquiring or ground leasing numerous suitable sites for stand-alone and center retail pharmacy sites, including the related land use work. Mr. Andreani has appeared several times before planning commissions and city councils in furtherance or defense of project approvals and decisions, in many Southern California municipalities.
Bob has represented direct owners and property management companies in their day-to-day operational and larger matters involving general lease administration and other matters and decisions in dealing with tenants, lenders, municipalities and service providers. This work has encompassed shopping malls and other retail centers as well as office and mixed-use product types. Specific tasks have included negotiating and documenting lease extensions, expansions and other amendments for existing tenants, easement and license agreements and CC&R's, as well as providing counsel and documentation as to tenant bankruptcies and defaults, disputes concerning CAM and other pass-through expenses and percentage rent, exclusive use rights disputes and interpretation of lease provisions and applicable law.
Bob has conducted countless “Due Diligence” reviews and documented numerous contractual allocations of risks and responsibilities (including insurance coverage) for actual and potential hazardous materials contamination and other environmental risks in real estate, in connection with sales/acquisitions, loans and leases of all real estate product types. He has negotiated, documented and otherwise handled disputes over responsibility for clean-up and interaction with consultants, agency representatives and principals for landlords, tenants, property managers, investors, lenders and service providers.
Mr. Andreani's experience encompasses representation of landlords, tenants, owners, managers and service providers in leases and licensing agreements involving real estate telecommunications services including cell-site leases (land, roof-top, etc.); tower leases; single and multiple building “BSP” and other intra-building “backbone” telecom services leases. REIT clients he has serviced in these areas include Kilroy Realty Corp. and Equity Office Properties Trust. Bob has also prepared related agreements for joint marketing between landlords and the telecom service providers.
Mr. Andeani's work has included representing real estate-secured lenders (banks such as Cal-Fed and others) in obtaining the court appointment of Receivers to take over income-producing office projects and retail centers whose borrower/owners have gone into default under their loans. Bob has also represented Receivers directly, both in securing their assignments and appointments, and in the subsequent operational matters in managing the real estate projects under their receivership.
In addition, he has been involved in many loan work-outs and restructuring of financing outside of litigation, on behalf of borrowers and, on occasion, lenders. His experience includes handling numerous single and portfolio dispositions of R.E.O. assets on behalf of the FDIC/RTC, as well as R.E.O. purchases by investors, following foreclosure.
Although Mr. Andreani does not himself handle bankruptcies or litigation directly, he has also advised purchasers in their bidding and purchasing efforts in connection with buying leases out of third-party debtor bankruptcies, and note purchasers in their buying of notes of troubled real estate-secured loans from lenders and their subsequent foreclosure or restructuring.
Mr. Andreani has significant experience in handling land acquisitions and development for Indian Tribal clients and their gaming operations in California (including on behalf of the 29 Palms Band of Mission Indians – Coachella Valley; Pechanga Band of Liuseno Mission Indians; and Tuolumne Band of Me-Wuk Indians) and in representing investors in Southern California card-club transactions.
Robert Andreani is also a licensed real estate broker in the State of California [California Department of Real Estate License # 01108676], and has been continuously licensed since 1991. Both individually and under his trade name “Perital Real Estate Brokerage”, Mr. Andreani is able to provide independent real estate brokerage services in connection with Commercial, Retail, Industrial, Multi-Family and Mixed-Use properties in the State of California, and to also arrange real estate secured loans in the state.
