Represented Nike Inc. in several store lease transactions in the United States and Canada.
Represented CVS Pharmacy/CVS Realty Corp. in negotiating and documenting 15 long-term ground and store lease and real property acquisitions, for the development and construction of new prototypical pharmacy buildings as part of stand-alone or integrated center projects, together with related entitlement processing, demolition and construction matters, environmental risk assessment and remediation, all as part of CVS' “roll-out” in California in the early 2000’s.
Represented Epson Electronics America, Inc. in several real estate matters including the negotiation and documentation of the lease for its 70,000+ square foot Silicon Valley headquarters in San Jose, California.
Represented Brookfield Properties and its predecessor, Trizec Hahn Office Properties, in negotiating and documenting several retail and office lease transactions at its “7th & Fig” mixed-use project in downtown Los Angeles.
Represented Equity Office Properties Trust, the largest real estate investment trust (REIT) and largest office building owner and manager in the United States, in the preparation of an office tower “backbone” telecommunications agreement for one of its largest holdings.
Represented PacTel Properties, the real estate development/investment subsidiary of California conglomerate Pacific Telesis Group, in the acquisition of its entire Southern California portfolio of investment properties, ranging from “trophy” office properties to industrial product, as well as in the subsequent disposition of the portfolio, including such marquis properties as the “Pacific Mutual Building” in downtown Los Angeles, Pacific CommerceCentre in Lake Forest, and Hutton Center in Santa Ana. Also negotiated and documented PacTel’s lease transactions, partnership and JV arrangements with outside partners and the company’s larger financings with institutional lenders. Transactions totaled over $700Million in the aggregate.
Represented IMG [formerly International Management Group], a global sports, fashion and media business with nearly 3,000 employees operating in more than 30 countries around the globe, in the preparation of a master Event License Agreement for venue and promoters, at the Indian Wells Tennis Garden stadium in Indian Wells, California.
Advised Abercrombie & Fitch in connection with several retail store lease matters in California.
Represented Starwood Hotels & Resorts Worldwide in connection with a sales tax participation agreement with the City of Lancaster, California.
Represented the foreign private-equity ownership of the Macy's Plaza mixed-use office/retail/hotel project located at 700 S. Flower Street in downtown Los Angeles in several retail and office lease transactions, including full-floor and multi-floor office leases in its 700,000+ square foot high-rise office tower.
Represented ImpreMedia/La Opinion, publisher of the largest Spanish-speaking newspaper in the United States, in connection with leasing and subleasing matters relating to its headquarters offices in downtown Los Angeles.
Negotiated and documented several fitness club leases for 24-Hour Fitness in California.
Representation of Cole Haan as tenant in negotiating and documenting retail store lease transactions in California, including at the Americana @Brand mixed-use destination center in Glendale, California.
Represented Service Employees International Union [SEIU], Local 721, Los Angeles, in the negotiation and documentation of its 7-floor headquarters office lease at 1545 Wilshire Boulevard in downtown Los Angeles, including options to purchase the Building and other related surrounding properties.
Represented national retail clothier Rhuel 925 in connection with California lease matters, including at the Americana @ Brand Center.
Represented La Curacao [ADIR International], a branded, multi-site department store operator catering primarily to Mexican and Central American immigrant clientele, in connection with its acquisition of its office headquarters building, the Olympic/Union Square mixed-use real estate project in the Pio-Pico district of downtown Los Angeles, which includes its “flagship” 100,000+ square foot retail department store, and also negotiated and documented several other La Curacao retail department store leases in Southern California including in Huntington Park, Panorama City, Anaheim, and Lynwood.
Negotiated and documented office/distribution lease for Converse, Inc. in Costa Mesa, California.
Represented Reliance Steel & Aluminum Co. [NYSE: RS] in real estate lease and facility acquisition transactions in California and Oregon.
Represented [Mitsui] Manufacturers Bank in connection with bank branch office leases in Southern California.
Handled numerous loan enforcement and receivership matters for California Federal Bank with respect to commercial real estate-secured loans in Southern California.
Continuing representation of the private ownership of the “Beverly Hills Gateway” office project at 9777 Wilshire Boulevard, Beverly Hills, California, in office and retail leasing and operational matters, including leases involving tenants JPMorgan Chase, Creative Artists Agency, Manufacturers Bank, and TDAmeritrade.
Negotiated and documented several branded retail restaurant lease transactions for El Gallo Giro Corporation throughout Southern California, including in Panorama City, San Fernando and Lynwood.
Represented the law firm of Hurrell & Cantrall, LLP in connection with negotiating and documenting its full-floor headquarters offices lease in downtown Los Angeles.
Assisted the private-equity ownership of the Packard Lofts Building at South Park [downtown Los Angeles], comprised of 116 condo-quality live/work apartment residences and ground floor retail, by preparing its master form apartment leases.
Represented The Bank of Tampa [Florida] in connection with a real-estate secured lending transaction in California.
Continuing representation of the private equity ownership of the “Promenade Gateway” mixed-use office/retail/residential project at the Third Street Promenade in Santa Monica, California, with respect to office and retail leasing and operational matters, including leases with Morgan Stanley, HSBC Bank, JT Productions [Jessica Simpson], Callison Architecture, and Desigual.
Represented Old Financial District L.P. [Tom Gilmore et al.] in preparing standard rental unit agreements for the landmark “San Fernando Building” in the Old Bank District of downtown Los Angeles.
Represented the private-equity ownership of the Melrose Plaza retail center @7500 Melrose in connection in development matters and in documenting retail lease transactions and in operational matters.
Represented TCA [Thomas P. Cox Architects] in connection with its office leasing and subleasing matters, including with respect to its downtown Los Angeles main office headquarters space at 801 S. Grand Avenue.
Negotiated and documented office facility lease for Hurley for its Costa Mesa, California corporate offices.
Negotiated and documented several retail restaurant leases on behalf of Pollo Campero, a franchised Salvadoran restaurant chain, including several sites in Los Angeles and other Southern California locales.
Assisted The Limited London-Paris-New York, Inc. and its affiliates The Limited, Express Inc. and Victoria’s Secret, in connection with retail lease matters in various shopping malls in Southern California, involving litigation over use restrictions, store closures and other landlord/tenant disputes.
Represented Kilroy Realty Corporation in several Southern California leasing and acquisition matters.
Represented the exclusive U.S. distributor of Dickies Girl clothing [Apparel Limited] in the acquisition of its headquarters facility in Los Angeles and in other real estate matters.
Continuing representation of Sandstone Properties and its affiliates in leasing and acquisitions in California and other states, as well as in operational matters related to its various holdings.
Assisted Glimcher Realty Trust (NYSE: GRT), a premier real estate investment trust based in Columbus, Ohio which holds or manages enclosed and open-air regional malls and community centers, in connection with its negotiations for a proposed series of transactions involving talent agent Michael Ovitz and others for the possible construction of a new professional football stadium in Carson, California.
Assisted Southern California retail real estate brokerage firm Epsteen & Associates in the preparation of its standard form listing and commission agreements.
Represented private equity investment in the acquisition of actor Nicolas Cage’s several-hundred acre real estate holdings above Mailbu, California.
Represented the Pechanga Band of Luiseno Mission Indians in its acquisition of the 700+ acre Boseker Ranch property in Temecula, Riverside County, Southern California.
Assisted the 29 Palms Band of Mission Indians in a series of real estate transactions in Southern California involving developer Donald Trump’s organization, involving the expansion of the Tribe’s existing gaming and entertainment facilities [Spotlight 29] in the Palm Springs area.
Represented the State Teachers Retirement System of Ohio, as secured lender and development investor, in connection with California commercial/industrial real estate projects.
Represented Western Union Corporation in the sale of its downtown Los Angeles headquarters office building and master switching station.
Assisted the Exceptional Children’s Foundation in connection with closing its acquisition of commercial real estate from the Community Redevelopment Agency of Los Angeles, for the operation of an educational and training facility for developmentally disabled children and adults.
Represented AIG, as tenant, in negotiating and documenting a large commercial office lease transaction at Segerstrom’s Center Tower in Costa Mesa, California
Retained by PM Realty Group to author new standard office lease forms for its use in various owned and managed real estate holdings throughout the country, which included the coordination of 11 local counsels’ input for creating “local” versions for different jurisdictions.
Represented the Tuolumne Band of Me-Wuk Indians tribe its successful acquisition, through foreclosure bidding, of former ancestral lands totaling over 300 acres in Sonora California.
Represented Boral Industries, Australia’s largest construction materials supply company and North America’s largest brick manufacturer, in the handling of an environmentally-contaminated site in Northern California.
